What happened As reported by Mining Weekly Africa and headlined by African Mining Market, AIM- and ASX-listed Atlantic Lithium has announced the completion of a novation agreement between Elevra Lithium and Zhejiang Huayou Cobalt. Under the terms of the transaction, Elevra has transferred its rights and interests in Atlantic Lithium's Ewoyaa lithium project and its broader lithium portfolio in Ghana to Huayou. Atlantic Lithium had previously consented to the transaction in May, following arrangements established with both parties. The finalisation of the novation agreement followed formal confirmation from Ghana's Ministry of Lands and Natural Resources that the government had no objection to Huayou becoming a controller of the relevant Ghanaian and Singaporean entities linked to Atlantic Lithium's asset portfolio in the country, Mining Weekly Africa reported. Following the completion, Huayou holds the rights to a 22.5% interest across Atlantic Lithium’s Ghanaian lithium projects, which include Ewoyaa. In addition, Huayou assumes Elevra's previous spodumene concentrate offtake rights, as well as associated contractual rights and obligations. Huayou also agreed that the development costs conditions precedent under the project agreement are deemed satisfied or waived. Consequently, Huayou will begin sole funding the project's development costs to cover the remaining $66 million of the $70 million Stage 3 sole-funding obligations under the project agreement, Mining Weekly Africa reported. Through this funding milestone, Huayou will earn an additional 27.5% interest in the Ghanaian portfolio to take its aggregate equity interest to 50%. Thereafter, all remaining development and operational costs will be shared equally between Atlantic Lithium and Huayou. Why it matters Nexus analysis indicates that Huayou Cobalt’s entry as an equity and funding partner provides clear backing for the capital requirements of the Ewoyaa project following Elevra's exit. The explicit regulatory sign-off from Ghana's Ministry of Lands and Natural Resources eliminates ownership ambiguity regarding the corporate structure controlling the underlying assets. Furthermore, Nexus analysis suggests that securing the remaining $66 million in sole-funding expenditure helps mitigate immediate financing hurdles for mine construction. The novation also secures project commercialization through Huayou's assumption of spodumene concentrate offtake rights, aligning downstream processing with the eventual 50:50 joint structure with Atlantic Lithium once Stage 3 earn-in thresholds are satisfied. This analysis does not constitute investment advice. What to watch Nexus analysis highlights that industry observers should monitor the deployment schedule of the $66 million funding allocation as development activities progress. The formal transition of Huayou's equity stake from 22.5% to the targeted 50% threshold upon completion of Stage 3 expenditures will serve as a key progress benchmark. Stakeholders will also be watching for operational updates, licensing procedures, and local compliance disclosures from Atlantic Lithium, Huayou, and Ghanaian authorities regarding field operations and commercial timelines at Ewoyaa.
